By enrolling or using our services, you confirm that you have read and agree to these Terms.

Introduction

These Terms and Conditions ("Terms") govern your use of the website icodeailab.com, the registration and enrolment process, and any classes, programs, workshops, or services offered by i-CODE Robotics and AI Lab Limited ("i-CODE," "we," "us," "our"), a private limited company incorporated in Kenya with offices at OneStop Arcade, off Langata Road, Karen, Nairobi.

By visiting our website, submitting a registration form, paying program fees, or attending any class or session, you agree to these Terms. If you are registering on behalf of a child, you confirm that you are the parent or legal guardian and that you accept these Terms on your own behalf and on behalf of the learner.

Important: If you do not agree with any part of these Terms, please do not enrol or use our services.

Definitions

  • "Learner" means the student enrolled in any i-CODE program, whether a child, teenager, university student, or professional.
  • "Parent" means the parent or legal guardian responsible for a learner under 18.
  • "Program" means any course, module, workshop, intensive, or session offered by i-CODE.
  • "Term" means a defined teaching cycle, typically 10 to 12 weeks for kids and teens.
  • "Fees" means the amounts payable for any program, registration, or materials, as published on our website or quoted at enrolment.

Enrolment and Registration

  • Enrolment is confirmed only after we receive the completed registration form and full payment of the applicable fees, unless we agree otherwise in writing.
  • We reserve the right to decline an enrolment where a program is full, the learner does not meet age or prerequisite requirements, or where we reasonably believe enrolment is not in the best interests of the learner or the wider class.
  • Class places are limited and are allocated on a first-paid basis.
  • Parents must provide accurate and up-to-date contact, emergency, and health information at enrolment, and must update us of any changes.

Fees and Payment

  • Fees are quoted in Kenyan Shillings (KES) and are reviewed periodically. The fees applicable to your enrolment are those in effect at the time of registration.
  • A non-refundable registration fee of KES 3,000 applies to first-time learners.
  • Materials fees (e.g., robotics kits at KES 5,000 or drone materials at KES 7,000) are charged in addition to tuition fees, where applicable.
  • Tuition fees are payable in full before the start of the term, unless we agree to a payment plan in writing.
  • We currently accept payment by bank transfer. Bank details are provided on the invoice. Please use the learner's full name as the payment reference.
  • Discounts (such as early-payment or sibling discounts) apply only when their stated conditions are met and cannot be combined unless expressly stated.
  • Late payment may result in suspension of attendance until fees are settled. We reserve the right to charge reasonable administrative fees on persistently overdue accounts.

Cancellation and Refund Policy

5.1 Cancellation by the Parent or Learner

  • 7+ days before term starts: tuition fees refunded in full, less the non-refundable registration fee and any materials already issued.
  • Less than 7 days before start, or within first 2 weeks: 50% of tuition fees refunded, less registration and materials costs.
  • After the first 2 weeks: no refund of tuition fees. In genuine medical or compassionate circumstances, we may at our discretion offer a credit toward a future term.
  • Materials, kits, and any digital licences already issued are non-refundable.

5.2 Cancellation by i-CODE

If we cancel a program before it begins, we will offer either a full refund of fees paid or a transfer to an alternative program of equivalent value. If we cancel a program after it has begun for reasons within our control, we will refund tuition fees on a pro-rata basis for sessions not delivered.

5.3 Missed Sessions

Sessions missed by the learner are not generally refundable or transferable. Where reasonably possible, we will provide make-up materials or, at our discretion, a make-up session within the same term.

Code of Conduct

To create a safe, respectful, and productive learning environment, all learners and parents agree to:

  • Treat instructors, staff, fellow learners, and equipment with respect
  • Arrive on time and attend regularly
  • Use i-CODE devices, kits, robots, drones, and software only for the purposes of the program and under instructor guidance
  • Not engage in bullying, harassment, hate speech, or any unsafe behaviour
  • Not record, photograph, or share images of other learners without consent
  • Follow all health, safety, and security instructions while on our premises
We reserve the right to suspend or remove from a program any learner whose conduct seriously or repeatedly breaches this code. In such cases, no refund will be due for sessions not attended as a result of the suspension.

Safeguarding of Children

i-CODE is committed to the welfare and safety of all learners, especially minors. We:

  • Operate in line with the Children Act, 2022 and applicable child-protection guidance
  • Apply background and reference checks for staff and instructors who work with minors
  • Maintain supervision ratios appropriate to the age of the learners
  • Will release minors at the end of a session only to a parent or an authorised adult identified at registration
  • Will, in a medical or safety emergency, take reasonable steps to seek medical assistance and contact the listed emergency contact

Parents are responsible for the safe drop-off and pick-up of minors and for any time spent on or near the premises outside scheduled session times.

Equipment, Materials, and Intellectual Property

  • All robotics kits, drones, computers, software, and other equipment owned by i-CODE remain our property unless they are sold to the learner as part of the program.
  • Where a learner is issued with a take-home kit or materials as part of fees, ownership transfers on full payment, but we accept no responsibility for the kit once it leaves our premises.
  • Curriculum content, lesson materials, slide decks, project briefs, recordings, and other learning resources are the intellectual property of i-CODE or our licensors. They are provided for the personal, non-commercial use of the enrolled learner only.
  • Student work: Original projects, code, and creations made by a learner remain the intellectual property of the learner. By enrolling, the learner (or parent on their behalf) grants i-CODE a non-exclusive, royalty-free licence to display the work for educational, promotional, and showcase purposes.

Use of Photographs, Video, and Showcases

Innovation showcases, demo days, social media, and our website are an important part of how we celebrate learner achievement. We will only feature an identifiable learner (especially a minor) where the parent or adult learner has provided written consent.

Online Learning and Accounts

Some of our programs include online sessions, dashboards, or learning platforms. Where we issue login credentials:

  • The account holder is responsible for keeping their password confidential
  • Accounts are personal and may not be shared, transferred, or sold
  • We may suspend or terminate access for misuse, breach of these Terms, or non-payment of fees

Website Use

You agree to use icodeailab.com only for lawful purposes and not to:

  • Interfere with, disrupt, or attempt to gain unauthorised access to the website or its underlying systems
  • Submit false, misleading, or fraudulent information
  • Upload malicious code or use the site to harass others
  • Reproduce or scrape substantial portions of our content for commercial use without our written permission

We may modify, suspend, or discontinue parts of the website at any time without liability.

Limitation of Liability

To the fullest extent permitted by Kenyan law:

  • Our total liability to you in connection with any program or service shall not exceed the fees you have paid to us for that specific program in the 12 months preceding the claim.
  • We are not liable for loss of profit, loss of opportunity, loss of data, or any indirect or consequential losses.
  • We do not exclude or limit liability for death or personal injury caused by our negligence, for fraud, or for any other liability that cannot lawfully be limited.
You agree to indemnify i-CODE against any losses, claims, or damages arising from your or the learner's wilful damage to equipment, breach of these Terms, or unlawful conduct.

Health, Safety, and Equipment-Related Risks

Some of our programs involve electronics, motors, robotics kits, drones, and other physical equipment. While we take reasonable safety measures, you acknowledge that:

  • Some activities carry inherent minor risks (e.g., small parts, soldering, or moving parts in robotics)
  • Learners must follow safety instructions at all times
  • Drones may only be flown in designated areas under instructor supervision
  • Parents must disclose at registration any medical condition, allergy, or accessibility need that may affect the learner's safety in class

Force Majeure

We are not liable for any failure or delay in delivering a program where it is caused by circumstances beyond our reasonable control, including but not limited to: power outages, internet failures, public health emergencies, government directives, civil unrest, fire, flood, or strike action.

Where this happens, we will use reasonable efforts to reschedule sessions, deliver online alternatives, or extend the term.

Privacy

Your personal data is handled in accordance with our Privacy Policy and the Kenya Data Protection Act, 2019. By accepting these Terms you acknowledge that you have read and understood the Privacy Policy.

Changes to These Terms

We may amend these Terms from time to time. The current version will always be available on our website. Where changes materially affect your rights or obligations, we will notify enrolled parents and learners by email or in writing.

Continued use of our services after a change constitutes acceptance of the updated Terms.

Governing Law and Disputes

These Terms are governed by the laws of Kenya. Any dispute arising out of or in connection with these Terms or any program shall first be addressed through good-faith discussion between the parties.

Where a dispute cannot be resolved within 30 days, it shall be referred to the courts of Kenya, which shall have exclusive jurisdiction.

Severability and Entire Agreement

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions remain in full force. These Terms, together with our Privacy Policy and any program-specific enrolment forms, constitute the entire agreement between you and i-CODE in relation to the services provided.
